1. Introduction
Welcome to the BCDees App ("the App"). These Terms and Conditions ("Terms") govern your access to and use of the App, including its Peer Exchange, Wallet, Marketplace, and Events Calendar services.
By registering for and using the App, you agree to comply with these Terms. If you do not agree, you may not use the App.
This agreement (the “Agreement”) is for users and merchants who meet regulatory mandated Know Your Customer (KYC) requirements.
This is a contract between you and:
Demo Technologies Inc. (‘trading as BCDees"), a private corporation incorporated in Saskatchewan, Canada (Company Number 102155503) and a Financial Transactions and Reports Analysis Centre of Canada licensed Payment Service Provider with business registration number (M23749545).
2. Definitions
a. Service: Refers to all functionalities offered by the App, including Peer Exchange, Wallet, Marketplace, and Events Calendar.
b. Users: Individuals who register and meet the Know Your Customer (KYC) requirements to use the App.
c. Merchants: Licensed Money Service Businesses (MSBs) that meet the App’s regulatory requirements to conduct transactions within the platform.
d. Peer Exchange: A feature enabling users to trade currencies or digital assets with other users within the App.
e. Wallet: A digital account allowing users to store, send, and receive funds securely within the App.
f. Marketplace: A platform within the App where users and merchants can buy and sell goods or services.
g. Events Calendar: A service displaying relevant events, promotions, and updates related to the App's ecosystem.
3. User Eligibility
To use the BCDees App, users must:
a. Successfully complete the Know Your Customer (KYC) verification process as required by applicable regulations.
b. Provide accurate personal information and keep it updated.
c. Agree to comply with all applicable laws and these Terms.
d. Not have been previously banned or restricted from using the App due to violations.
e. Ensure compliance with the App's terms, policies, and applicable financial laws.
f. Undergo periodic compliance reviews conducted by BCDees to verify ongoing regulatory adherence.
g. Accept full responsibility for transactions, including refunds, disputes, and chargeback claims.
h. Accept that BCDees reserves the right to refuse, limit, or terminate accounts at its sole discretion.
4. Merchant Eligibility
To operate as a merchant on the BCDees App, businesses must:
a. Possess a valid and unexpired Money Service Business (MSB) license issued by the relevant regulatory authority.
b. Comply with all applicable anti-money laundering (AML) and financial regulations.
c. Maintain accurate and up-to-date business information within the App.
d. Ensure compliance with the App's terms, policies, and applicable financial laws.
e. Undergo periodic compliance reviews conducted by BCDees to verify ongoing regulatory adherence.
f. Accept full responsibility for transactions, including refunds, disputes, and chargeback claims.
g. Acknowledge that BCDees may suspend or terminate merchant accounts that do not meet regulatory standards.
5. Use of Services
a. Peer Exchange: Users and Merchants may engage in peer-to-peer transactions at their own risk. The App is not liable for any disputes arising between users.
b. Wallet: Users and Merchants may store funds, make payments, and withdraw balances in accordance with the App’s policies. The Wallet can not be used for illicit activities.
c. Marketplace: Transactions within the Marketplace are facilitated by the App but conducted between users and merchants. BCDees does not guarantee the quality or delivery of goods and services.
d. Events Calendar: Users and Merchants may access event listings, but the App is not responsible for third-party event accuracy or changes.
6. Prohibited Activities
Users and merchants may not:
a. Use the App for illegal, fraudulent, or unethical transactions.
b. Engage in money laundering, fraud, or other financial crimes.
c. Provide false, misleading, or deceptive information during registration or transactions.
d. Violate any applicable financial regulations or international sanctions.
e. Attempt to exploit system vulnerabilities or interfere with App operations.
f. Share account credentials or engage in unauthorized access.
g. Facilitate the sale of counterfeit, illegal, or prohibited goods or services.
h. Engage in activities that may damage the reputation of BCDees.
i. Circumvent security protocols or misuse platform features for unauthorized financial transactions.
7. Fees and Charges
a. Transaction fees may apply for certain services. Users and merchants agree to pay all applicable fees as disclosed within the App.
b. Fees are non-refundable and subject to change with prior notice.
c. Any taxes or regulatory fees applicable to transactions are the responsibility of the user or merchant.
d. BCDees reserves the right to adjust fee structures at its discretion to comply with regulatory requirements.
8. No Refund Policy
a. All transactions conducted within the App are final. No refunds will be issued under any circumstances.
b. Users and Merchants acknowledge responsibility for verifying transaction details before confirming payments, deposits, or withdrawals.
c. Chargebacks and disputes must follow the App’s dispute resolution process outlined in these Terms.
d. BCDees reserves the right to deny refund requests, even in cases of user error.
9. Security Responsibilities
a. Users and Merchants must safeguard their login credentials and report any unauthorized activity immediately.
b. The App employs advanced security measures, but Users and Merchants acknowledge that online transactions carry inherent risks.
c. Users and Merchants must comply with any additional security protocols implemented by the App, including two-factor authentication (2FA).
d. BCDees reserves the right to freeze accounts involved in suspected fraudulent activity pending investigation.
e. Users and Merchants assume all risks associated with third-party integrations and external payment processors.
10. Liability and Dispute Resolution
a. BCDees is not liable for any losses resulting from user or merchant errors, unauthorized transactions, or third-party actions.
b. Users and Merchants agree to resolve disputes among themselves where possible before escalating issues to BCDees.
c. The App reserves the right to mediate disputes but is not legally responsible for resolving conflicts.
d. In cases of suspected fraud, BCDees will cooperate with law enforcement and financial institutions.
e. Any legal claims or disputes will be handled in accordance with the governing law stated in these Terms.
11. Termination and Account Suspension
a. The App reserves the right to suspend or terminate accounts for violations of these Terms or suspected fraudulent activity.
b. Users and Merchants whose accounts are terminated for violations will forfeit any remaining funds or balances.
c. BCDees may block access to the platform for individuals or businesses deemed high-risk.
d. If an account is suspended, BCDees may require additional verification before reinstatement.
e. BCDees reserves the right to deny service to any individual or business at its sole discretion.
12. Compliance and Audits
a. BCDees may conduct periodic audits on user and merchant accounts to ensure compliance with regulations.
b. Users and merchants agree to provide any necessary information requested during audits.
c. Failure to comply with audit requests may result in account suspension or termination.
13. Governing Law and Jurisdiction
a. These Terms shall be governed by and construed in accordance with the laws of Canada.
b. Any legal disputes shall be resolved in the courts of Canada.
c. Users and Merchants agree to waive any class-action claims and pursue disputes on an individual basis.
d. BCDees reserves the right to modify its dispute resolution procedures in compliance with regulatory updates.
